Coaching Agreement: Terms & Conditions
The purpose of this agreement is to establish the standards and boundaries of our relationship. It defines what your responsibilities are and what my promises are to you.

This Agreement is Made Between Coach, Quianna Rodriguez, MCC, CCC, CLC and you the Coachee, and pertains to Coaching for Personal or Professional Development which shall occur via telephone, via Google Meet/Zoom, or in-person, as negotiated between Client and Coach.
Definition of Coaching
“ICF defines coaching as partnering with clients in a thought-provoking and creative process that inspires them to maximize their personal and professional potential. The process of coaching often unlocks previously untapped sources of imagination, productivity and leadership. We all have goals we want to reach, challenges we’re striving to overcome and times when we feel stuck. Through the process of coaching, clients deepen their learning, improve their performance, and enhance their quality of life. In each meeting, the client chooses the focus of the conversation, while the coach listens and contributes observations and questions. This interaction creates clarity and moves the client into action. Coaching accelerates the client's progress by providing greater focus and awareness of choice. Coaching concentrates on where clients are now and what they are willing to do to get where they want to be in the future. ICF member coaches recognize that results are a matter of the client's intentions, choices, and actions, supported by the coach's efforts and application of the coaching process.
Coaching Agreement
The Coachee understands and agrees to each of the following provisions:
- A) I hereby employ Quianna Rodriguez, MCC, CCC, CLC as my "Coach" for the purpose of partnering with me to maximize my personal and professional potential with respect to the proper format for Career and/or Life Coaching. She may also assist me in structuring, identifying, and achieving goals as she has experience in such matters and agrees to render such services.
- B) I understand and agree that the Coach is not an "employment agent," "business manager," "financial analyst" or "psychotherapist" and that she has not promised, shall not be obligated to, and will not: (1) procure or attempt to procure any employment, business or sales for me, (2) perform any business management functions such as accounting services, advice on tax matters or the investment of funds, and (3) will not act as a therapist, counseling me or providing psychoanalysis, group therapy or behavioral therapy.
- C) I further understand and agree that Coaching is not the same as professional or licensed therapy; and that I am always free to reject any advice, suggestions, or requests made by the coach at any time. My coach is authorized and encouraged to be direct and unconditionally supportive of me.
- D) I further understand and agree that I am to inform my Coach whenever I am under the care of any healer or licensed physician, therapist, or psychiatrist; and/or anytime I am taking any prescriptions or drugs.
Duration of Agreement
The Duration of this agreement shall be for the total number of sessions over the course of the number of months agreed upon between the Client and Coach. Sessions will be approximately 60 minutes in duration. Please see the invoice for the exact number of sessions agreed upon.
Scheduled Coaching Sessions
Client understands and agrees to retain the Coach and meet via telephone, via Google Meet/Zoom, or in-person, as negotiated between Client and Coach at the rate as agreed and is reflected on the invoice.
The Client is to make the sessions with the coach a priority and is to meet promptly. We will meet beginning at an agreed time and date and meet at the same time and day thereafter less any agreed-upon scheduled time and date, holidays, and breaks.
Re-Scheduling, Cancellations, & Missed Coaching Sessions
The client understands and agrees to make coaching sessions a priority and to arrive on time for scheduled appointments. The client further understands and agrees that if they have not rescheduled a call 24 hours in advance, or is not present within 15 minutes of a scheduled coaching time, the coach will assume the client has elected not to avail themselves of the opportunity to make the session that week, and will charge the coachee for the session as part of the monthly retainer or package of choice. Any uncompleted or unused sessions will not be carried over from one month/package to the next.
Fees
Your fee is packaged and due 48 hours in advance of services to be provided. While we DO NOT offer a money-back guarantee, WE DO offer a Satisfaction Guarantee. If for any reason you are not completely satisfied, please communicate this with me and we will work together to design a plan that works best for you and get the results you desire. Payments are expected to be made promptly each month or upfront. An invoice is automatically sent via email after purchase. Payment options include cash, money orders, checks, or online or text with the following credit cards: MC, VISA, Discover, and American Express via Stripe. Digital Coaching Subscriptions
For Digital Coaching Subscribers, you authorize monthly scheduled charges to your credit card. You will be charged the amount indicated within the Subscription Plan of choice each billing period. Your billing period will begin the day you initiate service. A new billing period will begin the same day each month thereafter. An invoice for each payment will be provided to you and the charge will appear on your credit card or banking statement. You agree that no prior notification will be provided unless the date or amount changes, in which case you will receive notice from us at least 10 days prior to the payment being collected. As a subscriber, you agree that your personal details will be electronically processed and stored for the purpose of the agreement.
You understand that this authorization will remain in effect until you cancel it in writing, and you agree to notify Happy Work Week, LLC in writing of any changes in my account information or termination of this authorization at least 15 days prior to the next billing date. If the above-noted payment dates fall on a weekend or holiday, you understand that the payments may be executed on the next business day. You acknowledge that the origination of credit card or bank card transactions to your account must comply with the provisions of U.S. law. You certify that you are an authorized user of the credit card or bank card and will not dispute these scheduled transactions; so long as the transactions correspond to the terms indicated in this authorization form.
Call Procedures
If an agreed-upon session via telephone, I will call you at the specified time of each scheduled session. We are scheduled to talk for the number of sessions agreed upon between the Coach and Client for approximately 60 minutes each session. For long-term contracts, I do ask for a 1-month notice period if you decide to terminate this relationship.
Changes
I have reserved your time for you. If the need arises, please give me 24 hours’ notice and we will reschedule. Without proper notice, scheduled time missed will be lost. I request you to make our time together a priority. If you go on an extended trip and need to rearrange our time, please let me know in advance.
Extra Time
You may call between our appointments if you need assistance, have a problem, or can't wait to share a success with me. I encourage you to take advantage of this opportunity. This is extra and I do not bill for this time, but I do ask that you use it respectfully. E-mail communications are also available.
Problems
If I ever say or do anything that upsets you or doesn't feel right please bring it to my attention. I promise to do what is necessary to make you satisfied. Honesty and trust are critical for our relationship to grow. I want this to be an open and safe place for you to come with confidence.
Confidentiality
Confidentiality is critical to our relationship. Our coaching sessions are strictly confidential. Any subject discussed and/or items shared, including such things as personal information, future plans, proprietary information, goals, job, and company information, will remain confidential. While confidentiality is crucial to the quality of our relationship, if you share with me that you are engaged in illegal activity or intend harm to yourself or others, I reserve the right to disclose that information to the appropriate authorities.
Coaching Relationship
We have entered into a coaching relationship and it is not, nor will there be any type of therapy or psychological counseling. If these are needed, then it is your responsibility to seek these services from the relevant professional. If there is any question about this relationship, please bring it to my attention immediately. Throughout the working relationship, the coach will engage in direct and personal conversations. The client can count on the coach, to be honest, and straightforward in asking questions and making requests. The client understands that the power of the coaching relationship can be granted only by the client, and the client agrees to do just that: have the coaching relationship be powerful. If the client believes the coaching is not working as desired, the client will communicate that belief and take action to return the power to the coaching relationship.
Termination
Be honest with me at all times. You can say anything to me, positive or negative. This includes honesty in your responses to me AND let me know if something makes you uncomfortable or you don't want to respond to a question. If at any time you experience discomfort during one of our sessions or are unsatisfied with my coaching, please bring it to my attention. We are working as a team to grow your career/life positively and together we'll make the necessary adjustments to keep the coaching process moving forward.
Some clients work with me for just a few months and some for several years. When the time comes to conclude our professional relationship, the ending may be initiated by either of us. When that time comes, I request we have at least one session to bring closure to our coaching relationship. If the relationship is terminated prematurely, either by the coach or client due to unforeseen circumstances, the client understands that Happy Work Week DOES NOT offer a money-back guarantee. All payments submitted prior to termination will not be refunded.
Happy Work Week, LLC is committed to providing all clients with a positive experience. By purchasing this service, the Client agrees that Happy Work Week, LLC may, at its sole discretion, terminate this Agreement, and limit, suspend, or terminate the Client’s participation without refund or forgiveness of monthly payments if the Client becomes disruptive to Happy Work Week, LLC or Participants, Client fails to follow the Program guidelines, is difficult to work with, impairs the participation of the other participants in the Group Programs or upon violation of the terms as determined by Happy Work Week, LLC. The Client will still be liable to pay the total contract amount.
Group Coaching & Online Courses
Happy Work Week, LLC’s programs are copyrighted and original materials that have been provided to Client are for Client’s individual use only and a single-user license. The client is not authorized to use any of Happy Work Week, LLC’s intellectual property for the Client’s business purposes. All intellectual property, including Happy Work Week, LLC’s copyrighted programs and/or course materials, shall remain the sole property of Happy Work Week, LLC. No license to sell or distribute Happy Work Week, LLC’s materials is granted or implied. By purchasing this product, Client agrees (1) not to infringe any copyright, patent, trademark, trade secret, or other intellectual property rights, (2) that any Confidential Information shared by Happy Work Week, LLC is confidential and proprietary, and belongs solely and exclusively to Happy Work Week, LLC, (3) Client agrees not to disclose such information to any other person or use it in any manner other than in discussion with Happy Work Week, LLC. Further, by purchasing this product, Client agrees that if Client violates, or displays any likelihood of violating, any of Client’s agreements contained in this paragraph, Happy Work Week, LLC will be entitled to injunctive relief to prohibit any such violations and to protect against the harm of such violations.
Client's Responsibility
All Online Courses and Programs are developed for strictly educational purposes ONLY. Client accepts and agrees that the Client is 100% responsible for their progress and results from the Program. Happy Work Week, LLC makes no representations, warranties, or guarantees verbally or in writing. The client understands that because of the nature of the program and extent, the results experienced by each client may significantly vary. Program education and information is intended for a general audience and does not purport to be, nor should it be construed as, specific advice tailored to any individual.
Limitation of Liability
The Client agrees they used Happy Work Week’s services at their own risk. The Client releases Happy Work Week, LLC, its officers, employees, directors, subsidiaries, principals, agents, heirs, executors, administrators, successors, assigns, Instructors, guides, staff, Participants, and related entities any way as well as the venue where the services are being held (if applicable) and any of its owners, executives, agents, or staff (hereinafter “Releases”) from any and all damages that may result from any claims arising from any agreements, all actions, causes of action, contracts, claims, suits, costs, demands and damages of whatever nature or kind in law or in equity arising from my participation. Client accepts any and all risks, foreseeable or unforeseeable. Client agrees that Happy Work Week, LLC will not be held liable for any damages of any kind resulting or arising from including but not limited to; direct, indirect, incidental, special, negligent, consequential, or exemplary damages happening from the use or misuse of Happy Work Week, LLC’s services or enrollment in our Programs. Happy Work Week, LLC assumes no responsibility for errors or omissions that may appear in any of the program materials.
Professional Cover Letter, Resume, LinkedIn Profile
Each package is tailored to the client. If the client's package includes either a cover letter or resume, draft documents will be provided to Clients for review within 7 to 10 business days of the mutually agreed time set by the client and coach, along with the provision of requested information, subject to acts of God, mechanical failure, or other occurrences beyond Happy Work Week's control. If a LinkedIn Profile is included, it will be completed once draft documents are finalized. The client is responsible for providing a username and password if a LinkedIn Profile is included. It is recommended to change the LinkedIn password after the service is completed. Happy Work Week will not begin writing a client’s résumé or cover letter until a signed contract and payment in full is received. The client also agrees to provide Happy Work Week with the requested information in a timely manner to complete the résumé project within a 30-day period after Client consultation.
Happy Work Week is not responsible for errors in information or false information provided by the Client or for errors discovered after the Client has proofread his/her documents provided by Happy Work Week. Happy Work Week is not responsible for any incidental or consequential damages. The client agrees that any requests for additional revisions to be made to the document after the project has been finalized, additional charges will apply.
Happy Work Week warrants only that it will develop a document agreed upon and delivery of materials as well as any other applicable documentation or services, based on information provided by the Client. As Client’s sole remedy, Happy Work Week will correct any defective or incomplete work without additional charge, unless Client has completed his/her initial proofreading, in which case additional charges will apply.
Essay, Thank You Letter, & Email Revision
Happy Work Week will assist the client by reviewing written documents in preparation for their job search. Happy Work Week will only provide editing services by giving suggested revisions and WILL NOT be responsible for writing Essays, Thank You Letters, or emails.
Publications, Correspondence, & Confidentiality
Client grants permission to Happy Work Week to use the content of the Client’s resume and/or cover letter to be published in articles, columns, books, and industry-related publications at the discretion of Happy Work Week. Client understands all identifying data, (name, address, city, email address, and phone numbers) will be fictionalized to protect Client. In addition, the client agrees to receive the test information on new products and special offers via email. Your privacy is important to us. We do not sell, share, or trade your information to third parties. If the Client does not grant permission to Happy Work Week for document publication or to be added to the mailing list, please submit a request by email.
Referrals
My business has grown through referrals. I am very grateful for any referrals you send my way. For any referral you send my way to a client of mine, you will receive one free session.
Feedback
I improve my offering through client feedback, positive and negative. Included in this Welcome Package is a form for a testimonial. Within the first month if you feel so compelled I would appreciate a testimonial for use in marketing.
Declaration
I UNDERSTAND THAT I AM WORKING WITH QUIANNA RODRIGUEZ, MCC, CCC, CLC FOR PERSONAL OR PROFESSIONAL COACHING AT THE AGREED FEE. AS A CLIENT, I UNDERSTAND AND AGREE THAT I AM FULLY RESPONSIBLE FOR MY WELL-BEING DURING MY COACHING CALLS, INCLUDING MY CHOICES AND DECISIONS. I AM AWARE THAT I CAN CHOOSE TO DISCONTINUE COACHING AT ANY TIME. I RECOGNIZE THAT COACHING IS NOT PSYCHOTHERAPY, OR PSYCHOANALYSIS, AND DOES NOT DEAL WITH THE DIAGNOSIS OR TREATMENT OF EMOTIONAL PROBLEMS. I UNDERSTAND THAT PROFESSIONAL REFERRALS WILL BE GIVEN IF NEEDED. IN ADDITION, SINCE PROFESSIONAL COACHING DOES NOT CONSTITUTE MEDICAL CONSULTATION OR TREATMENT, HEALTH INSURANCE DOES NOT APPLY. I ALSO ACCEPT THAT IF MY COACH SUSPECTS THAT I OR SOMEONE I KNOW COULD BE IN A HARMFUL SITUATION MY COACH CAN CONTACT THE POLICE AND THE CLIENT CONFIDENTIALITY CLAUSE WILL BE NULL AND VOID.
